Terms of service
The terms that apply when you use this website or engage DSDP Services Pty Ltd, read together with your rights under the Australian Consumer Law.
1. About these terms
These terms apply to your use of dsdpservicestec.online and to services provided by DSDP Services Pty Ltd (ABN 90 703 605 412, ACN 703 605 412) ("we", "us", "our"). By using this website or engaging us, you agree to these terms. Nothing in them excludes, restricts or modifies any right or remedy you have under the Australian Consumer Law that cannot lawfully be excluded.
2. Engaging us
Information on this website is general and is not an offer. An engagement starts when we confirm a written scope of work by email and you accept it. The scope will describe the tasks, any access or information we need from you, and the agreed fee or basis for charging. Changes to the scope must be agreed in writing.
Our services are administrative and coordination services. We do not provide legal, tax, financial or accounting advice, or licensed trade work.
3. Your responsibilities
You agree to give us accurate information and timely access to what we need, to make the decisions that remain yours, and to tell us promptly if something changes. Delays or errors caused by incomplete or inaccurate information are outside our control.
4. Fees and payment
Fees are set out in the scope of work. Unless otherwise agreed, invoices are payable within the period stated on the invoice. Any amounts we pay to third parties on your behalf will be agreed with you first.
5. Third-party suppliers and trades
Where we coordinate suppliers, trades or other professionals for you, they are engaged by you and are responsible for their own work, licences and warranties. We will act with due care in arranging them, but we are not responsible for the quality of work performed by independent third parties.
6. Australian Consumer Law
Our services come with guarantees that cannot be excluded under the Australian Consumer Law, including that they will be provided with due care and skill, will be fit for any purpose you made known to us, and will be supplied within a reasonable time. For a major failure with the service, you are entitled to cancel your service contract with us and to a refund for the unused portion, or to compensation for its reduced value. You are also entitled to be compensated for any other reasonably foreseeable loss or damage. If the failure does not amount to a major failure, you are entitled to have problems with the service rectified in a reasonable time and, if this is not done, to cancel your contract and obtain a refund for the unused portion.
7. Limitation of liability
To the extent permitted by law, and subject to section 6, our liability for failure to comply with a consumer guarantee in relation to services not of a kind ordinarily acquired for personal, domestic or household use is limited to supplying the services again or paying the cost of having them supplied again. To the extent permitted by law, we are not liable for indirect or consequential loss, and our total liability arising from an engagement is limited to the fees paid for that engagement.
8. Intellectual property
The content and design of this website belong to DSDP Services Pty Ltd and may not be copied for commercial use without our permission. Documents, records and information you provide remain yours. Materials we prepare specifically for you under an engagement, such as filing structures and handover notes, are yours to use once the related fees are paid.
9. Termination
Either party may end an ongoing engagement by giving written notice by email. You pay for work performed up to the date the notice takes effect. Either party may end an engagement immediately if the other materially breaches these terms and does not fix the breach within a reasonable time after written notice. Termination does not affect rights that accrued before it, or your rights under the Australian Consumer Law.
10. Privacy
We handle personal information in accordance with our privacy policy.
11. Governing law
These terms are governed by the laws of Victoria, Australia. Each party submits to the non-exclusive jurisdiction of the courts of Victoria and the courts entitled to hear appeals from them.
